Weichai Clarification Fails to Enter into Acquisition Agreement with GM

Weichai Power, which recently resumed trading, faced a daily price limit immediately after its market opening. This has sparked intense debate among seasoned investors of the company. Industry insiders suggest that the recent volatility is not only due to the company’s revitalization plan but also linked to its overseas acquisition activities. Recently, French media reported that Weichai Power had acquired General Motors’ auto parts manufacturing plant in Strasbourg, France. However, Weichai Power issued an official statement on February 23, clarifying that no agreement or cooperation has been reached with GM’s factory in Strasbourg. The company emphasized that it has not provided any advice indicating an intention to acquire the plant and has not initiated any decision-making process regarding such a purchase. Despite this, rumors about Weichai's potential overseas acquisitions have been circulating widely. In August, General Motors announced the sale of its Strasbourg-based auto parts manufacturing plant, mentioning that potential buyers from Asia had shown interest. Weichai confirmed that its subsidiary, Weichai Power (Hong Kong) International Development Co., Ltd., had engaged in preliminary discussions with the plant in December 2008 regarding technology and product collaboration. However, no formal talks with the plant's shareholders have taken place so far. The company stated that if there are any developments, it will promptly disclose them according to listing regulations. Industry experts remain optimistic about the possibility of Weichai acquiring the facility, noting that foreign auto parts production costs are lower than in China, making such a move beneficial for the company. Some analysts believe that Weichai’s overseas presence is still limited, and the current acquisition strategy reflects a cautious approach, as the purchase price is relatively low. Despite the skepticism, Weichai has already made progress in overseas M&A. On January 23, the company’s subsidiary Baudouin acquired assets through a bid of 2.99 million euros, although the contract has not yet been signed and administrative approvals are still pending. Baudouin, based in Cassis, France, has over a century of history and specializes in the design, development, and sales of professional engines and drive systems. Weichai stated that this acquisition would allow it to gain access to Baudouin’s products, technologies, and brand, helping it expand into international markets and enhance its global operations. However, some industry observers, like Wen Jinhua, argue that this acquisition is more of a small test for Weichai’s international capabilities rather than a major strategic move. He believes the scale of the deal is too small to significantly impact the company’s overall business, though he notes that risks are manageable. Another analyst, Yu Bing, pointed out that while the target is small, the acquisition could be part of a long-term strategy aimed at future profitability. Additionally, Weichai clarified that the transaction does not constitute a related-party deal and does not meet the threshold for significant disclosure, indicating that it has little immediate impact on the company’s financials.
